SECTION 1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") are a binding agreement between you and SizeMyTrade LLC ("SizeMyTrade," "we," "us," or "our") governing your access to and use of sizemytrade.io and its calculators, accounts, paid features, exports, downloads, and related services (collectively, the "Platform").

By accessing the Platform, creating an account, checking a box indicating acceptance, or purchasing a subscription, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Platform. If you use the Platform for an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

Electronic acceptance and records have the same legal effect as a handwritten agreement to the extent permitted by applicable law. You should retain a copy of these Terms.

SECTION 2. INTERNATIONAL AVAILABILITY AND MANDATORY RIGHTS

The Platform is operated from Florida, United States and may be accessed from other jurisdictions. Availability in a location does not represent that every feature is lawful or appropriate there. You are responsible for complying with laws applicable to your use, including any laws governing trading or access to financial-market tools.

Nothing in these Terms excludes, restricts, or modifies a mandatory consumer guarantee, statutory remedy, cancellation right, or other right that cannot lawfully be waived in your jurisdiction. If a provision conflicts with a non-waivable right, that provision will apply only to the maximum extent permitted by law.

The Platform is provided in English, prices are displayed in U.S. dollars unless checkout states otherwise, and charges may be converted by your payment provider. You are responsible for conversion fees, foreign-transaction fees, and taxes imposed by your payment provider or jurisdiction.

SECTION 3. DESCRIPTION OF SERVICES

SizeMyTrade is a web-based mathematical trade-planning calculator. It offers:

Free Tier — Core Tool: position sizing, dollar-risk and reward-to-risk calculations, including the initial-position R-Multiple Target Calculator.
Paid Tier — Full Feature Access: paid features may include Add to Position, Scale Out using FIFO and LIFO, R-Multiple calculations, long and short trade support, Trade Notes, and trade-plan exports in PDF, HTML, Excel, and CSV formats.
Annual Subscriber Download: eligible annual subscribers receive the then-current Pattern Performance Tracker spreadsheet under the license in Section 9.

All outputs are mathematical results generated from user-entered values. SizeMyTrade does not execute trades, connect to brokerage accounts, hold customer assets, select securities, monitor portfolios, or act as a fiduciary.

SECTION 4. IMPORTANT — NO FINANCIAL OR INVESTMENT ADVICE

IMPORTANT DISCLAIMER — READ BEFORE USING THE PLATFORM

SizeMyTrade is a mathematical calculator and educational and informational tool only. It is not a broker-dealer, investment adviser, financial planner, exchange, trading platform, tax adviser, law firm, or fiduciary. It does not provide investment, financial, legal, or tax advice.

Outputs are mathematical results. Position sizes, dollar-risk amounts, R-multiples, profit-and-loss estimates, reward-to-risk ratios, blended costs, scale-out figures, notes, and exports depend entirely on the information you enter.
No output is a prediction, recommendation, endorsement, solicitation, signal, guarantee, or offer to buy, sell, or hold a security, cryptocurrency, financial instrument, or other asset.
Trading involves substantial risk. You may lose some or all capital committed to a position, and losses in certain strategies may exceed the amount initially invested. Past performance does not guarantee future results.
You are solely responsible for your decisions. Conduct independent research, assess suitability and risk, and verify every calculation with your broker or other authoritative source before acting.
Consult appropriately licensed financial, tax, and legal professionals when you need advice. SizeMyTrade does not know your objectives, finances, risk tolerance, tax circumstances, or legal obligations.

The following notice may also appear within the Platform: “SizeMyTrade provides mathematical trade-planning tools for educational and informational purposes only. Not financial advice.”

SECTION 5. ELIGIBILITY

You must be at least 18 years old, capable of entering a binding agreement, and legally permitted to use the Platform in your jurisdiction. You may not use the Platform if you are subject to sanctions or restrictions that prohibit the transaction or if your use would cause SizeMyTrade or its providers to violate applicable law.

SECTION 6. ACCOUNTS AND SECURITY

Certain features require an account. You agree to provide accurate, current information; maintain only accounts you are authorized to use; protect your credentials; and promptly notify Support@sizemytrade.io of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by law, except activity caused by SizeMyTrade’s failure to use legally required safeguards.

Accounts and subscriptions are personal and may not be sold, transferred, shared, or used to provide access to unrelated third parties. We may require reasonable verification to protect accounts, prevent fraud, or respond to a rights request.

SECTION 7. FREE TIER

The Core Tool is currently available without charge. All risk warnings, acceptable-use restrictions, warranty disclaimers, and liability limitations in these Terms apply to free use. We may modify or discontinue free features at any time. If registration is not required, certain account-specific rights or functions will not be available.

SECTION 8. PAID SUBSCRIPTIONS, AUTOMATIC RENEWAL, AND CANCELLATION

8.1 Prices and Billing Cycles

Monthly subscription: $9.99 USD billed each month until cancelled.
Annual subscription: $89.99 USD billed each year until cancelled.

Applicable taxes and any other required charges will be displayed at checkout. The final checkout page controls if it clearly discloses a different promotional price, trial, tax, or billing term before you purchase.

8.2 Automatic Renewal and Authorization

AUTOMATIC-RENEWAL NOTICE

Unless you cancel before the next renewal charge is processed, your subscription automatically renews for successive monthly or annual billing periods, as applicable, and the payment method on file will be charged the then-current subscription price plus applicable taxes. By purchasing, you expressly authorize these recurring charges until cancellation.

We will provide a purchase confirmation or receipt containing or linking to material subscription terms. For subscriptions that require an advance renewal reminder under applicable law, we will send the reminder within the legally required period using the contact information associated with your account.

8.3 How to Cancel

You may cancel at any time through the online subscription-management or “My Subscriptions” area made available in your account. If that function is unavailable because of a technical problem, contact Support@sizemytrade.io before the renewal date. We will not require a cancellation method materially more burdensome than the method used to subscribe.

Cancellation prevents future renewal charges and becomes effective at the end of the current paid billing period. You ordinarily retain access through that date. Deleting an account, ceasing use, removing an application, or disputing a charge does not by itself cancel a subscription unless the Platform expressly confirms cancellation. Keep the cancellation confirmation for your records.

8.4 Refunds

Except where required by law, subscription charges are nonrefundable and we do not provide prorated refunds or credits for partial periods, unused features, or failure to cancel before renewal. Nothing in this provision limits a mandatory cooling-off, cancellation, refund, consumer-guarantee, or other non-waivable right. If the law where you reside grants such a right, contact us promptly and provide information reasonably necessary to evaluate the request.

For digital content supplied immediately, checkout may request your express consent to immediate performance and acknowledgment of any legally permitted effect on a statutory withdrawal right. That acknowledgment does not waive rights that cannot lawfully be waived.

8.5 Price and Material Feature Changes

We may change future subscription prices by giving reasonable advance notice to affected subscribers. A price change will apply no earlier than the next renewal after the notice period required by applicable law. You may cancel before the new price takes effect.

We may improve, replace, or remove features. If we discontinue the paid service or materially reduce its core paid functionality during a prepaid period, we may provide comparable access, an appropriate prorated refund, or another remedy required by law. This does not require a refund for changes reasonably necessary for security, legal compliance, provider requirements, or prevention of misuse when the paid service remains substantially available.

SECTION 9. PATTERN PERFORMANCE TRACKER

An annual subscriber receives a one-time download of the Pattern Performance Tracker version offered when the annual subscription is activated, unless checkout states otherwise. It is a spreadsheet-based recordkeeping and journaling aid and is not a trading signal or advisory service.

Permanent license to the downloaded copy: after downloading the Tracker, you may keep and continue using that downloaded version for your own personal trade tracking, even after ordinary cancellation or expiration of the subscription.
No post-cancellation re-downloads or updates: after the annual subscription ends, you are not entitled to re-download the Tracker, obtain a replacement copy, receive a newer version, or access future updates unless you purchase or renew an eligible annual subscription.
Personal-use restrictions: you may not sell, redistribute, sublicense, publish, share, provide access to, remove ownership notices from, or use the Tracker to provide a commercial service to another person. You may make reasonable backup copies solely for your own use.
Local responsibility: you are responsible for securely storing your downloaded file, backups, passwords, and any information you enter into it.
As-is download: the Tracker is provided “AS IS” and may depend on compatible spreadsheet software. Verify formulas and outputs independently before relying on them.

The license to a lawfully downloaded copy survives ordinary cancellation. We may terminate the license for material infringement, unauthorized distribution, fraud, or another material breach relating to the Tracker, subject to applicable law.

SECTION 10. ACCEPTABLE USE

You may not, and may not assist another person to:

Use the Platform unlawfully, fraudulently, deceptively, or to violate another person’s rights.
Scrape, crawl, probe, attack, overload, disrupt, or automate access except through an interface or written permission we provide.
Circumvent access controls, subscription restrictions, security measures, usage limits, or payment requirements.
Reverse engineer, decompile, or attempt to obtain nonpublic source code, except to the limited extent applicable law expressly permits despite this restriction.
Upload or transmit malware, harmful code, or information you are not authorized to provide.
Resell, sublicense, redistribute, publicly reproduce, or commercially exploit the Platform, Tracker, or other protected materials except with our written permission.
Represent SizeMyTrade outputs as professional advice or imply that SizeMyTrade recommends a security or trading decision.

We may investigate suspected violations and take proportionate action, including restricting features or suspending an account, subject to applicable law.

SECTION 11. INTELLECTUAL PROPERTY AND USER MATERIALS

The Platform, source code, branding, trademarks, original text, graphics, interface elements, export designs, documentation, and Tracker content are owned by or licensed to SizeMyTrade and protected to the extent provided by applicable intellectual-property law. Nothing in these Terms claims exclusive ownership of unprotectable mathematical facts, formulas, accounting principles, or ideas.

Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to access the Platform for personal trade-planning and recordkeeping. The separate continuing license for a downloaded Tracker copy is governed by Section 9.

You retain ownership of information you enter and exports generated from your inputs, subject to SizeMyTrade’s rights in the underlying Platform, format, and protected elements. Because calculator inputs are designed to remain local, you are responsible for preserving your own records.

If you voluntarily provide feedback, you grant SizeMyTrade a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without identifying you or disclosing confidential information, subject to the Privacy Policy.

SECTION 12. CALCULATION ACCURACY AND USER RESPONSIBILITY

Input dependence: outputs are only as accurate and complete as the values you enter.
Rounding and conventions: displayed values may be rounded and may differ from raw values, broker calculations, market conventions, tax treatment, fees, slippage, interest, margin, corporate actions, or execution results.
No brokerage equivalence: we do not warrant that results will match a broker, exchange, clearing firm, financial institution, spreadsheet application, or tax authority.
Independent verification: test and independently verify all calculations, formulas, exports, and spreadsheet results before trading or making financial decisions.
Availability and compatibility: exports and downloads may render differently depending on browser, device, spreadsheet software, security settings, or later software updates.

SECTION 13. PRIVACY

Our Privacy Policy explains how personal information is collected, used, disclosed, retained, and transferred. By using the Platform, you acknowledge that Privacy Policy as a notice. Consent is requested separately where the law requires consent.

SECTION 14. THIRD-PARTY SERVICES

The Platform relies on or may link to third-party services, including Wix, Wix Payments, financial institutions, card networks, and software used to open exports. Third parties may impose their own terms and privacy notices. We do not control an independent third party’s service, availability, security, or conduct, but this provision does not disclaim responsibilities that applicable law places on SizeMyTrade.

SECTION 15. SUSPENSION, TERMINATION, AND SERVICE DISCONTINUATION

You may stop using the Platform at any time and may cancel a paid subscription as described in Section 8. We may suspend or terminate access when reasonably necessary because of a material Terms violation, nonpayment, fraud, security risk, unlawful conduct, provider requirement, or legal obligation. Where appropriate and legally required, we will provide notice and a reasonable opportunity to cure.

If SizeMyTrade discontinues the paid service for reasons unrelated to your breach, remedies concerning the unused prepaid period will be handled under Section 8.5 and applicable law. Ordinary cancellation ends web access at the end of the paid period but does not revoke the continuing personal-use license to a Tracker copy already lawfully downloaded. Sections that by nature should survive—including intellectual property, disclaimers, liability provisions, dispute terms, and the applicable Tracker license—survive termination.

SECTION 16. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, OUTPUTS, EXPORTS, AND TRACKER ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SIZEMYTRADE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant uninterrupted or error-free operation; that defects will be corrected; that outputs will be accurate or suitable; that files will be compatible with every device or application; or that use will produce any financial result. Some jurisdictions do not permit certain exclusions, so some disclaimers may not apply to you.

SECTION 17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIZEMYTRADE LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR TRADING OR INVESTMENT LOSSES; LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITY, OR GOODWILL; OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE PLATFORM, OUTPUTS, EXPORTS, TRACKER, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SIZEMYTRADE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT OR (B) $25 USD.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence where applicable, or any other liability or remedy that cannot lawfully be excluded or limited. The limitations apply only to the extent permitted in your jurisdiction.

SECTION 18. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SizeMyTrade and its personnel from third-party claims, damages, judgments, and reasonable costs arising from your unlawful use of the Platform, material violation of these Terms, infringement of another person’s rights, or unauthorized redistribution or commercial exploitation of the Platform or Tracker. This obligation does not apply to the extent a claim results from SizeMyTrade’s own unlawful conduct, negligence, or breach of duty, and it does not require a consumer to assume an obligation that applicable law prohibits.

SECTION 19. GOVERNING LAW AND DISPUTES

These Terms are governed by Florida law, without regard to conflict-of-law principles, except that mandatory consumer protections of your place of residence continue to apply when they cannot lawfully be waived. Subject to those mandatory rights, the state and federal courts serving the county in Florida where SizeMyTrade LLC maintains its principal place of business will have exclusive jurisdiction over disputes arising from these Terms or the Platform.

Before filing a claim, you and SizeMyTrade agree to make a good-faith effort to resolve the dispute by written notice describing the issue and requested resolution, unless immediate relief is reasonably necessary or applicable law prohibits such a requirement. This Section does not prevent either party from using an eligible small-claims procedure or seeking injunctive relief for actual or threatened misuse of intellectual property or security systems.

SECTION 20. CHANGES TO THESE TERMS

We may update these Terms prospectively. The revised Terms will display a new “Last Updated” date. For a material change affecting an active paid subscription, we will provide reasonable advance notice by email, account notice, or prominent Platform notice where required. If you do not agree, you may cancel before the change takes effect. Changes do not retroactively alter a dispute that arose before the change unless both parties agree or applicable law permits it.

SECTION 21. MISCELLANEOUS

Entire agreement: these Terms, the Privacy Policy, checkout disclosures, and any incorporated plan terms form the agreement concerning the Platform.
Order of precedence: a specific checkout disclosure controls over a conflicting general provision only for the transaction it clearly addresses; mandatory law controls where applicable.
Severability: an unenforceable provision will be limited or removed to the minimum extent necessary, and the remaining provisions remain effective.
No waiver: failure to enforce a provision is not a waiver of future enforcement.
Assignment: you may not assign these Terms without our consent. We may assign them as part of a merger, reorganization, financing, or transfer of the business, subject to applicable law.
No agency or beneficiary: these Terms do not create employment, partnership, joint venture, fiduciary, or agency relationships, and no third party is an intended beneficiary except expressly stated indemnified parties.
Force majeure: neither party is responsible for delay caused by events beyond reasonable control, except payment obligations already incurred and rights that cannot lawfully be limited.
